1. Acceptance and Scope
These Website Terms of Use ("Terms") govern your access to and use of www.partneraz.com and any PartnerAZ web pages that link to these Terms (the "Website"). By accessing or using the Website, you agree to these Terms. If you do not agree, do not use the Website.
2. Relationship to Other Agreements
These Terms govern general use of the Website. Use of the PartnerAZ platform itself is governed by the applicable Buyer Terms of Service, Vendor Terms of Service, or Platform Agreement, and personal information is handled in accordance with the Privacy Policy. If these Terms conflict with a signed Platform Agreement or the platform terms a user has accepted, those agreements prevail for platform use.
3. Eligibility
The Website is intended for business and professional use by individuals who are at least the age of majority in their province or territory. It is not directed to children.
4. Permitted Use and Restrictions
You may access the Website for lawful, informational, and business purposes. You will not:
- use the Website for any unlawful purpose or in violation of these Terms;
- copy, scrape, harvest, or use any robot, spider, or other automated means to access or collect Website content without PartnerAZ's prior written permission;
- frame or mirror any part of the Website without PartnerAZ's prior written permission;
- reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying technology of the Website;
- use the Website, or any content or data from it, to develop, train, or support a competing or substantially similar product or service;
- interfere with or disrupt the Website, or impose an unreasonable or disproportionately large load on its infrastructure;
- attempt to gain unauthorized access to any account, system, or data; or
- misrepresent your identity or affiliation, or impersonate any person or entity.
5. Intellectual Property
The Website and all of its content, software, design, text, and graphics, together with the PartnerAZ name and logo, are owned by PartnerAZ or its licensors and are protected under the *Copyright Act* (Canada), the *Trademarks Act* (Canada), and other applicable laws. PartnerAZ grants you a limited, non-exclusive, non-transferable, and revocable licence to view the Website for the permitted purposes. You may not use the PartnerAZ name, logo, or trademarks without PartnerAZ's prior written permission.
6. Third-Party Links and Content
The Website may contain links to third-party websites and content. PartnerAZ does not control, endorse, or take responsibility for third-party sites or content, which are governed by their own terms and privacy policies. You access them at your own risk.
7. Disclaimers
The Website and its content are provided on an "as is" and "as available" basis for general information only, and do not constitute legal, financial, or professional advice. To the maximum extent permitted by applicable law, PartnerAZ makes no warranties, express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement, and does not warrant that the Website will be uninterrupted or error-free.
8. Limitation of Liability
Because the Website is provided at no charge, to the maximum extent permitted by applicable law PartnerAZ's aggregate liability arising from or relating to your use of the Website will not exceed CAD $1,000. PartnerAZ is not liable for indirect, incidental, special, consequential, or punitive damages. Nothing in these Terms limits liability for fraud or fraudulent misrepresentation, gross negligence or wilful misconduct, or any liability that cannot be excluded under applicable law.
9. Privacy
PartnerAZ's handling of personal information collected through the Website is described in the Privacy Policy, which forms part of these Terms.
10. Geographic Scope
PartnerAZ does not offer services to Quebec residents at this time. The Website is currently available only in English to users located outside the Province of Quebec, and platform account registration is restricted to non-Quebec users.
11. Changes to These Terms
PartnerAZ may update these Terms from time to time by posting the updated version on the Website with a revised effective date. Your continued use of the Website after the effective date constitutes acceptance of the updated Terms.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada, without reference to conflict-of-law principles. The parties will first attempt to resolve any dispute through good-faith negotiation, then through confidential mediation under the VanIAC Mediation Rules administered by the Vancouver International Arbitration Centre (VanIAC); if the dispute is not resolved, the courts of British Columbia have exclusive jurisdiction. For public sector organizations, this Section applies subject to any mandatory requirement of the legislation governing the organization regarding governing law, venue, or dispute resolution.
